Terms of Service

These terms govern your use of hummandbuzz.com.au and any services provided by Humm&Buzz. They're written to be read, not skimmed past. If something isn't clear, reach out before engaging.

Our services

Humm&Buzz provides appointment setting, web development, and digital growth services to businesses. Specific deliverables, timelines, and fees are agreed in writing before work begins — via a proposal, statement of work, or service agreement.

These Terms apply to your use of this website and to any engagement with Humm&Buzz unless a separate written agreement supersedes them. Where a conflict exists between these Terms and a signed agreement, the signed agreement takes precedence.

Scope of work

Work outside the agreed scope requires a written change request. We'll confirm any additional cost or timeline impact before proceeding.

Payment terms

Invoicing

Payment terms are set out in your service agreement or proposal. Standard terms are net 7 days from invoice date unless otherwise agreed in writing.

Late payment

Invoices not settled within the agreed period may incur a late payment fee of 1.5% per month on the outstanding balance. Humm&Buzz reserves the right to pause or suspend services on accounts more than 14 days overdue.

Refunds

Fees paid for work already completed or in progress are non-refundable. If Humm&Buzz is unable to deliver agreed services due to circumstances on our end, we will refund the portion of fees attributable to undelivered work.

Expenses

Out-of-pocket expenses (ad spend, software subscriptions, domain registrations, stock assets) are billed at cost with prior written approval. We will not incur expenses on your behalf without authorisation.

Intellectual property

Your assets

Any materials, branding, content, data, or assets you provide remain your property. You grant Humm&Buzz a licence to use them solely for the purpose of delivering your agreed services.

Deliverables

Once payment is received in full, ownership of custom deliverables (websites, creative assets, written content) transfers to you. Until full payment is received, Humm&Buzz retains all rights to work produced.

Humm&Buzz IP

Our internal tools, processes, templates, and methodologies remain our property. Engagement with Humm&Buzz does not grant you a licence to these underlying systems unless explicitly stated in your agreement.

Portfolio use

Unless you request otherwise in writing, Humm&Buzz may reference your business name and describe the nature of work completed in our portfolio, case studies, and marketing materials.

Acceptable use

When using hummandbuzz.com.au or engaging Humm&Buzz services, you agree not to:

  • Provide false or misleading information in any form or enquiry

  • Use our services to promote or facilitate illegal activity

  • Attempt to reverse-engineer, copy, or replicate our processes, systems, or methodologies

  • Harass, threaten, or abuse any member of the Humm&Buzz team

  • Use our website in any way that disrupts, damages, or overburdens our systems

  • Misrepresent your relationship with Humm&Buzz to any third party

Breach of these terms

Violation of acceptable use terms may result in immediate termination of services without refund and, where applicable, referral to relevant authorities.

Limitation of liability

Humm&Buzz provides services with reasonable care and skill. However, to the maximum extent permitted by Australian law:

  • We are not liable for indirect, consequential, or incidental losses arising from use of our services or this website

  • Our total liability for any claim is limited to the fees paid for the specific service the claim relates to

  • We make no guarantee of specific outcomes — including but not limited to revenue, leads, rankings, or conversion rates — unless explicitly warranted in a signed agreement

  • We are not responsible for third-party platforms, tools, or services we recommend or integrate with

Nothing in these terms excludes liability for fraud, personal injury caused by negligence, or any other liability that cannot be excluded under Australian law.

Termination

By you

You may terminate an ongoing engagement at any time by providing written notice. Fees for work completed up to the termination date remain payable. Any advance payments covering undelivered future work will be refunded within 14 business days.

By Humm&Buzz

We reserve the right to terminate or suspend services if: payment obligations are not met within 30 days of a due date; you breach these Terms or your service agreement; or continuing the engagement would require us to act unethically or unlawfully.

Effect of termination

On termination, each party will promptly return or destroy the other's confidential materials. Provisions relating to payment, intellectual property, and liability survive termination of any agreement.

Governing law

These Terms are governed by the laws of Queensland, Australia. Both parties submit to the exclusive jurisdiction of the courts of Queensland for any dispute arising under or in connection with these Terms.

Disputes

Before initiating formal legal proceedings, both parties agree to make a genuine effort to resolve any dispute through direct negotiation. Written notice of the dispute must be provided, and both parties will attempt resolution within 14 business days of that notice.
